Terms of Service

The agreement that governs your use of Strata G.

These Terms of Service ("Terms") form a legal agreement between you and Strata G ("we", "us"). By creating an account, signing up for the waitlist, or otherwise using stratagapp.com or the Strata G application (together, the "Service"), you agree to these Terms.

Important: Strata G is software, not a law firm or accounting firm. We help you organize information and stay on top of compliance, but we do not provide legal, tax, or financial advice. Use Strata G alongside qualified professionals.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use Strata G. If you use the Service on behalf of an organization, you represent that you have authority to bind it.

2. Your account

You are responsible for everything that happens under your account.
Keep your credentials confidential. Notify us promptly of any unauthorized access at hello@stratagapp.com.
One person or organization per account unless we agree otherwise in writing.

3. Beta service

Strata G is currently offered as a beta service. The Service may change, contain bugs, or have downtime. Beta features are provided "as is" and may be modified or removed at any time. Pricing during beta may differ from later pricing.

4. Your data

You retain all rights to the entity records, agreements, documents, and other content you submit to the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to operate and improve the Service for you.

You are responsible for the accuracy and legality of Customer Data and for ensuring you have the right to upload it.

5. Acceptable use

You agree not to:

Use the Service to violate any law or third-party right.
Reverse engineer, scrape, or attempt to extract source code (except where allowed by law).
Probe, scan, or test the security of the Service without our written permission.
Upload malware, attempt unauthorized access, or interfere with the integrity or performance of the Service.
Use the Service to send spam, phishing content, or unsolicited communications.

6. Subscriptions and billing

Paid plans renew automatically until cancelled. Fees are non-refundable except where required by law or as stated on your billing page. We may change pricing with at least 30 days' notice; changes take effect at your next renewal.

7. Cancellation and termination

You may cancel your subscription at any time from your account settings. We may suspend or terminate access for material breach, non-payment, abuse, or as required by law. On termination, we will make Customer Data available for export for a reasonable period before deletion.

8. Intellectual property

The Service, including the Strata G software, brand, and content we provide, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9. No professional advice

Strata G provides software tools and informational content. Nothing in the Service constitutes legal, tax, accounting, or financial advice. Documents generated by the Service are templates, not legal opinions. Always consult qualified attorneys, CPAs, and financial advisors for advice specific to your situation.

10. Disclaimer of warranties

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that all data will be preserved.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or related to the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid us in the twelve months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

13. Governing law and disputes

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Davis County, Utah, unless required otherwise by mandatory law.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above always reflects the current version. Material changes will be communicated by email to active accounts. Continued use after the effective date of changes constitutes acceptance.
